2016 Annual Reports due May 1 for Florida Companies

Annual reports for Florida corporations, limited liability companies, and partnerships are due on or before May 1, 2016. This year the deadline falls on a Sunday, however, there does not appear to be a weekend rule like that of the federal income tax provision (which extends the deadline until the following business day). Therefore, reports submitted after May 1st will trigger a $400 late fee, and there is no provision to abate or waive the late fee.
Even if your company did not receive an annual report filing notice, all business entities (except non-profit corporations) will be held responsible for paying the $400 late fee if their annual report is filed after May 1st.
The Florida Department of State – Division of Corporations will revoke or dissolve a business entity from its records if a company does not file its annual report by the third Friday of September. Please note that filing an income tax extension will not extend the due date on this document because it is a legal report, not a tax-related filing.
You can file your annual report online using your entity’s document number (located on your annual report filing notice), your Federal Employer Identification number, a valid email address, and a credit card to pay the filing fee. You can search to see if an entity has filed its 2016 Florida annual report at the Florida Division of Corporations website.
